Sub: Update on sale of Thane Business Undertaking to Vidhi Research and Development LLP

Re: Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015

By way of a Board Resolution dated 23[rd] September 2015, the Board of Directors of the Company accorded approval to sign and execute a Business Transfer Agreement (“ BTA ”) between the Company and Vidhi Research & Development LLP (“ Vidhi ”), for the transfer of the Company’s Business Undertaking located at Thane Belapur Road, KU Bazar Post, Navi Mumbai – 400 705, subject to necessary approvals.

Thereafter, the Company, vide its letters dated 23[rd] September 2015 and 4[th] July 2019, informed the Stock Exchanges, that it had entered into a BTA for transfer of the Company's Business Undertaking at Thane as a going concern to Vidhi for a lump sum consideration of Rs. 178 Crore (for which consideration has been received in full through advance payment) and received partial approval dated 3[rd] July, 2019, from the Maharashtra Industrial Development Corporation for the same.

We wish to inform you that the Company has recently received all requisite approvals from the concerned authorities and both the parties (the Company and Vidhi) have completed the conditions precedents set out in the BTA. Accordingly, the Company has transferred its Business Undertaking at Thane including Land, Plant & Machinery and all the workmen employed at the said Business Undertaking to Vidhi Research and Development LLP effective close of business February 24, 2023.
