• Sub: Update on acquisition of Capiot Software Inc., USA Ref: (i) Our earlier intimation regarding acquisition of Capiot Software Inc. USA vide letter no. NSE & BSE / 2020-21 / 67 dated October 15, 2020

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (the ‘Regulations’) and further to our above referred intimation, we wish to inform you that the necessary customary closing conditions with respect to acquisition of Capiot Software Private Limited, India (wholly owned subsidiary of Capiot Software Inc.) have been met by Persistent Systems Limited on October 29, 2020. Consequently, Capiot Software Private Limited has become a Wholly Owned Subsidiary Company of Persistent Systems Limited with effect from October 29, 2020.

We also wish to inform you that customary conditions with respect to acquisition of Capiot Software Inc., USA are expected to be completed within next 3 (three) weeks. Accordingly, the Company will inform the closure of the full transaction to the stock exchanges in due course.
