Sub: Submission of public announcement regarding buyback of the Company's fully paid-up equity shares

The Board of Directors of Persistent Systems Limited (the "Company") has, vide its Board meeting which commenced on January 27, 2019 and concluded on January 28, 2019 ("Board Meeting"), approved the buyback of the Company's fully paid-up equity shares of face value of INR 10/- (Rupees Ten only) each ("Equity Shares") from its shareholders/ beneficial owners excluding promoters, promoter group and persons who are in control of the Company, via the "open market" route through the stock exchanges, for a total amount not exceeding INR 2,250 Million (Rupees two thousand two hundred and fifty million only), and at a price not exceeding INR 750 (Rupees seven hundred and fifty only) per Equity Share, payable in cash (the process being referred hereinafter as "Buyback").

In this regard, we wish to inform you that the Company has made a public announcement dated January 29, 2019 regarding buyback of the Company's fully paid-up equity shares. The public announcement is appearing in the today's newspapers as per the following details:

1. Financial Express (Daily English newspaper - All editions) on Page nos. 16 to 18

2. Loksatta (Daily Marathi newspaper - Pune) on Page nos. 12 to 14

3. 3 . Jansatta (Daily Hindi newspaper - All editions) on Page nos. 10 to 12
