NOTICE UNDER SECTION 708A(5)(e) OF THE CORPORATIONS ACT PLACEMENT – TRANCHE 2

Further to the announcement lodged with ASX on 7[th] May 2018, Hardey Resources Limited (“Hardey” or “the Company”) (ASX: HDY) advises that it has today issued 25,456,613 fully paid ordinary shares at $0.004 per share being the remaining Tranche 2 Placement Shares in relation to the Placement announced to ASX on 16 March 2018. In addition, the Company has issued 25,456,613 Listed Options exercisable at $0.02 on or before 30 April 2020 (HDYOC), being the free attaching Listed Options issued on a 1:1 basis to the Placement Shares.

The Tranche 2 Placement Shares and Listed Options were approved by shareholders at the General Meeting held 30 April 2018.

The Directors provides a notice for the purposes of section 708A(5)(e) of the Corporations Act 2001.

The Shares and Listed Options ( Securities ) above are part of a class of securities quoted on ASX and may be subject to a subsequent offer for sale. The Company issued the Securities above without a disclosure document to investors under Part 6D.2 of the Corporations Act.

The Company, as at the date of this notice, has complied with:

  • (a) the provisions of Chapter 2M of the Corporations Act; and

  • (b) section 674 of the Corporations Act.

There is no excluded information, as defined in sections 708A(7) and 708A(8) of the Corporations Act, as at the date of this notice. An Appendix 3B in respect to the Securities issued is attached.

1. Tranche 2 of Placement to Professional and
Sophisticated investors as announced to ASX
on 16 March 2018. Funds raised under the
Placement are intended to be used to further
the Company’s exploration efforts for Hardey’s
existing projects, primarily the Burraga Project
including recommencement of the Burraga
drilling programme. In addition, the funds are
intended to be used to for maintenance and
potential exploration at the Company’s gold
and base metal projects located in the Pilbara
region of Western Australia, being the Bellary,
Hamersley, Cheela and Elsie North Projects,
covering 512km² of Fortescue Group Rocks, as
well as the Grace Project located in the
Paterson Province in Western Australia,
together with general working capital and
project generation. The Tranche 2 shares were
approved by shareholders at the General
Meeting held 30 April 2018
