PARTNER COMMUNICATIONS ANNOUNCES DIVIDEND DISTRIBUTION FOR THE FIRST QUARTER OF 2009

Rosh Ha'ayin, Israel, May 21, 2009 – Partner Communications Company Ltd. ("Partner" or "the Company") (NASDAQ and TASE: PTNR), a leading Israeli mobile communications operator, announced today that its Board of Directors approved the distribution of a dividend for the first quarter of 2009 in the amount of NIS 1.54 (39 US cent) per share (in total approximately NIS 237 million or US$ 59 million) to shareholders and ADS holders of record on June 24, 2009. The dividend is expected to be paid on July 08, 2009.

The convenience translations of the Nominal New Israeli Shekel (NIS) figures into US Dollars were made at the rate of exchange: US $1.00 equals NIS 4. The translations were made purely for the convenience of the reader.

ראש העין, ישראל, 21 במאי 2009 – חברת פרטנר תקשורת בע"מ (להלן "פרטנר" או "החברה") (PTNR :TASE – I NASDAQ), מפעילת תקשורת סלולארית מובילה בישראל, מודיעה, כי מועצת המנהלים שלה אישרה חלוקת דיבידנד לרבעון הראשון של 2009 בסך של 1.54 ₪ (US 39 סנט) למניה (ובסך הכל כ– 237 מיליון ₪, או 59 מיליון דולר) למחזיקים רשומים של מניות החברה או של תעודות ADS שלה נכון ליום הקובע ב– 24 ביוני 2009. הדיבידנד ישולם ב– 8 ביולי 2008.
