PARTNER COMMUNICATIONS ANNOUNCES AGREEMENT WITH ERICSSON

ROSH HA'AYIN, Israel, December 20, 2007 - Partner Communications Company Ltd. ("Partner") (NASDAQ and TASE: PTNR; LSE: PCCD), a leading Israeli mobile communications operator, announces today that the Company has entered into an agreement (the "Agreement") with LM Ericsson Israel Ltd. ("Ericsson"), for the replacement of third party 3G equipment existing in Partner's network and the expansion thereof, and for the support and maintenance of the Ericsson elements in Partner's network. As a result, Ericsson shall become the sole vendor of Partner's 3G network.

The Agreement is expected to lead to higher operational and technological efficiency and to result in cost reduction.

The replacement process shall take place during a period ending on June 30, 2011 but may be completed earlier.

The transaction will result in depreciation acceleration of the replaced equipment, throughout the replacement period. The fixed assets value, net of depreciation of the replaced equipment as of September 30, 2007, is approximately USD 36 million. The main part of the depreciation is planned to take place during 2008.

In the event that the replacement and purchase of the new equipment is made in accordance with the provisions of the Agreement, the total net cash flow, after all discounts and price arrangements, some of which are contingent, payable by Partner throughout the replacement period, for the new equipment

and for the support and maintenance services, is an amount of approximately USD 64 million.

פרטנר תקשורת מודיעה על הסכם עם אריקסון

ראש העין, ישראל, 20 בדצמבר 2007 - חברת פרטנר תקשורת בע"מ ("פרטנר") (NASDAQ and TASE; PTNR, LSE; PCCD), מפעילת תקשורת סלולארית מובילה בישראל, מודיעה היום כי חתמה החברה על הסכם עם ל.מ. אריקסון ישראל בע"מ ("אריקסון"), לפי ציוד הרדיו של רשת הדור השלישי של החברה שסופק על ידי צדדים שלישיים יוחלף בציוד שיסופק על ידי אריקסון ורשת הדור השלישי של החברה תורחב. בנוסף קובע ההסכם הסדרי תשלום עבור שירותי התמיכה והתחזוקה בנוגע לכל האלמנטים של אריקסון ברשת החברה. כתוצאה מההתקשרות, תהפוך אריקסון לספק היחידי של החברה לגבי רשת הדור השלישי.

על פי הערכות החברה, ההתקשרות תוביל להתייעלות טכנולוגית ולחיסכון בעלויות. החלפת ציוד הרדיו מתוכננת להתבצע עד ליום 30.6.2011 אולם, ייתכן וההחלפה תסתיים קודם לכן.

כתוצאה מהעסקה יירשם, במהלך תקופת ההחלפה, פחת מואץ של הציוד המוחלף, כאשר ההשפעה העיקרית של הפחת המואץ תחול במהלך שנת 2008. נכון ליום 30.9.2007, הערך של הרכוש הקבוע, בניכוי הפחת של הציוד המוחלף, הוא כ- 36 מיליון דולר ארה"ב.

במקרה בו החלפת הציוד ורכישת הציוד החדש יתבצעו על פי הוראות ההסכם, הסכום הכולל, נטו, לאחר כל ההנחות וההסדרים, אשר חלקם מותנים, אותו תידרש החברה לשלם, במהלך תקופת ההחלפה, עבור הציוד החדש ועבור שירותי תמיכה ותחזוקה, הוא סך כולל של כ- 64 מיליון דולר ארה"ב.
