Own share transactions – Closing of the transaction to acquire MVM's stake in PannErgy

On 31 March 2025, PannErgy Nyrt. ("the Company") announced the main terms of a share purchase agreement concluded between PannErgy Nyrt. and its wholly owned subsidiary PannErgy Geothermal Power Plants Zrt. and MVM Energetika Zrt., under which the Company shall acquire MVM's stake in PannErgy at a price of HUF 1,512 per share (a total of 1,675,745 ordinary shares).

The first phase of the transaction – involving the purchase of 975,745 ordinary shares of PannErgy – was completed on 31 March 2025.

The second phase of the transaction, the purchase of the remaining 700,000 shares, took place today, after the fulfilment of the preconditions set by the parties to the transaction.

In accordance with the above, PannErgy Nyrt. informs capital market participants that PannErgy Nyrt., in accordance with the resolution of the General Meeting No. 9/2025 (IV. 25.), within the framework of the share buyback authorisation, has purchased PannErgy ordinary shares on the Budapest Stock Exchange in a fixed (LIS) transaction using ERSTE Befektetési Zrt. (H-1138 Budapest, Népfürdő u. 24-26) as investment service provider:

Following the transaction, the own share stock and the shareholding in the issuer will be as follows in respect of the number of shares held by the Company and the subsidiary:

The total number of PannErgy ordinary shares held by the Company as treasury shares increased to 2,593,365 that is, to 16.21%, exceeding the 15% threshold set out in Section 61(3) of Act CXX of 2001 on the Capital Market.
