Venezia - Mestre, 29 aprile 2022 – OVS S.p.A. comunica che in data odierna il Sindaco effettivo della Società dott.ssa Paola Tagliavini, tratta dalla lista che ha ottenuto il maggior numero di voti presentata dall'azionista TIP – Tamburi Investment Partners S.p.A., ha rassegnato, con effetto immediato, le proprie dimissioni dalla carica per sopraggiunti impegni professionali.

Al fine di consentire il rispetto dell'equilibrio tra generi, subentra quale componente effettivo del Collegio Sindacale, ai sensi di legge e di Statuto, la dott.ssa Emanuela Italia Fusa (tratta dalla lista di minoranza presentata da azionisti istituzionali titolari complessivamente del 2,70744% del capitale sociale) - unico Sindaco supplente in carica appartenente al genere femminile.

Il curriculum vitae della dott.ssa Emanuela Italia Fusa è già stato messo a disposizione degli azionisti in occasione dell'Assemblea Ordinaria del 9 luglio 2020 ed è depositato presso Borsa Italiana S.p.A., presso la Sede sociale e sul sito della Società, nella sezione Governance / Collegio Sindacale.

Nel corso della prossima Assemblea degli azionisti, convocata in unica convocazione per il giorno 31 maggio 2022, si provvederà alla necessaria integrazione del Collegio Sindacale ai sensi delle vigenti disposizioni normative.

PRESS RELEASE RESIGNATION OF AN EFFECTIVE AUDITOR

Venezia - Mestre, April 29th, 2022 – OVS S.p.A. announces that today the Effective Auditor Ms. Paola Tagliavini, taken from the list that has obtained the highest number of votes submitted by the shareholder TIP - Tamburi Investment Partners S.p.A., has resigned with immediate effect from the office due to professional commitments.

In order to allow the compliance with the gender balance, Ms. Emanuela Italia Fusa (taken from the minority list submitted by institutional shareholders holding a total of 2.70744% of the share capital) - the only female Alternate Auditor in office - takes over as effective member of the Board of Statutory Auditors, pursuant to the law and the Bylaws.

Ms. Emanuela Italia Fusa's curriculum vitae has already been made available to shareholders at the Ordinary Shareholders' Meeting held on 9 July 2020 and is filed with Borsa Italiana S.p.A., the Company's registered office and the Company's website, in the section Governance / Board of Statutory Auditors.

During the next Shareholders' Meeting, called on a single call for 31 May 2022, the Board of Statutory Auditors will be integrated in accordance with legal provisions in force.
