Notice of Extraordinary General Meeting in Otovo AS

Reference is made to the previous announcements regarding Otovo AS' (“Otovo”) all share offer for all the shares in European Distributed Energy Assets Holding AS (“EDEA”) (the "Offer").

The Board of Directors of Otovo has decided to call for an extraordinary meeting on 3 December 2021 at 12:00 CET in order to approve the Offer and issue Otovo shares to the EDEA shareholders that have accepted the Offer.

Due to the corona situation shareholders are encouraged to abstain from appearing in person at the general meeting, but rather participate by means of advance votes or by granting a proxy. Shareholders not enrolled by the set registration deadline, may be denied attendance.

Agenda:

- Share capital increase by contribution in kind in connection with the EDEA Offer

- Board authorisation for share capital increase in connection with the company’s employee share option programme

- Board authorisation for share capital increase in relation to the company’s share purchase programme for independent board members
