ESTABLISHMENT OF RISK MANAGEMENT COMMITTEE

The board (the “ Board ”) of directors (the “ Directors ”) of Branding China Group Limited (the “ Company ”) is pleased to announce that the Board has established the risk management committee (the “ Risk Management Committee ”) with effect from 28 December 2015.

The members of the Risk Management Committee shall comprise not less than three members. The majority of the members of the Risk Management Committee shall be the Directors.

The Board has appointed Mr. Fan Youyuan (an executive Director), Mr. Huo Zhongyan (the Chief Operating Officer of the Company) and Mr. Lin Zhiming (an independent non-executive Director) as members of the Risk Management Committee. Mr. Fan Youyuan has also been appointed as the Chairman of the Risk Management Committee.

The terms of reference of the Risk Management Committee will be published on the Company’s website at www.brandingchinagroup.com and HKEx news website at www.hkexnews.hk.
