VOLUNTARY ANNOUNCEMENT

INCREASE IN SHAREHOLDING BY A SUBSTANTIAL SHAREHOLDER

This is a voluntary announcement made by OSL Group Limited (the "Company", and together with its subsidiaries, the "Group").

The board of directors (the "Board") of the Company was informed that, on 11 March 2026, Mr. Liu Shuai ("Mr. Liu"), a substantial shareholder of the Company, increased his shareholding by 25,535,433 ordinary shares of the Company (the "Shares") through Crown Research Investments Limited, a company wholly owned by him, at an average price of HK$13.00 per Share (the "Increase in Shareholding").

Following the above Increase in Shareholding, Mr. Liu was deemed to be interested in an aggregate of 260,653,433 Shares, and his shareholding increased from approximately $26.14\%$ to approximately $28.98\%$ based on the number of issued shares of the Company as at the date of this announcement.

The Board welcomes the continued support and recognition for the Group from its shareholders, and remains committed to driving the Group's long-term development and growth potential.

Shareholders of the Company and potential investors are advised to exercise caution when dealing in the Shares.
