Sub: i. Appointment of Independent Director

ii. Intimation of the adjournment of the Board Meeting to 31.05.2024 (in continuation of Meeting held on 30.05.2024) for considering audited annual standalone and consolidated financial statements for the FY 2023-24

We are sorry to inform you that audited annual standalone and consolidated financial statements of the Company for the FY 2023-24 could not be available for consideration and approval of the Board of Directors since audit of the same could not be completed, so the Board have adjourned the meeting to the next day i.e. on 31st May, 2024 at 2.00 P.M.

However, the Board of Directors at their meeting held today i.e. on 30th May, 2024 has appointed Sri Ankush Dhelia as an Additional Director in the Category of Independent Non-Executive Director with effect from 30th May, 2024; since the tenure of appointment of Dr. Gora Ghose, Independent Director of the Company has expired on 31st March, 2024. The said appointment shall be subject to approval of Shareholders at the ensuing Annual General Meeting of the Company. Sri Ankush Dhelia is not related to any of the Directors of the Company. Further, in accordance with the circular dated June 20, 2018 issued by the stock exchanges, we hereby confirm that Sri Ankush Dhelia is not debarred from holding the office of Director by virtue of any SEBI order or any other such authority. The information required pursuant to provision of Schedule III of the Regulations is enclosed with this letter.

Further, the Trading Window for trading in the securities of the Company shall continue to remain closed for the designated persons as per the SEBI (Prohibition of Insider Trading) Regulations, 2015 read with the Company’s Code of Conduct for Prohibition of Insider Trading till 48 hours after the declaration of the aforesaid financial results.

We also request to consider the reason disclosed herein above as compliance with the requirement as per circular no. CIR/CFD/CMD-1/142/2018 dated November 19, 2018 informing reason for delay in submission of financial results.
