ASX ANNOUNCEMENT – ORCODA LIMITED (ASX: ODA)

Release of Shares from Voluntary Escrow

Orcoda Limited (ASX: ODA) (‘ Orcoda ’ or ‘ the Company’ ) gives notice of the imminent release from voluntary escrow of shares in the Company.

As previously advised by the Company to ASX:

1. the Company acquired the business of Future Fleet International Pty Ltd ( the Business ) in July 2023;

2. as part of the consideration for the acquisition of the Business the Company issued 2 million fully paid ordinary shares in the capital of the Company ( the Acquisition Shares) to an entity associated with the vendors of the Business on 25 July 2023; and

3. as agreed between the Company and the vendors of the Business the Acquisition Shares are subject to a 12 month voluntary escrow period.

As required under the ASX Listing Rules the Company gives notice that the Acquisition Shares will be released from voluntary escrow on 25 July 2024.
