ASX ANNOUNCEMENT – ORCODA LIMITED (ASX:ODA)

Release of Shares from Voluntary Escrow

Orcoda Limited (ASX: ODA) (Orcoda or the Company), a leading provider of integrated smart technology solutions in transport logistics, workforce logistics and transport infrastructure, gives notice of the imminent release from voluntary escrow of shares in the Company.

As previously advised by the Company to ASX:

1. the Company signed an Asset Agreement for the acquisition of IP from Keaz Limited (Hong Kong) (Vendor) on 20 March 2025;

2. as consideration for the acquisition of the IP, the Company issued 1,500,000 fully paid ordinary shares, issued at $0.08 (share price at the date of signing of the Asset Agreement) in the capital of the Company (Shares) to an entity associated with the Vendor on 26 March 2025; and

3. as agreed between the Company and the Vendor, the Shares were subject to a 12-month voluntary escrow period.

As required under the ASX Listing Rules, the Company gives notice that the Shares will be released from voluntary escrow on 26 March 2026.
