24 November 2017: SmartTrans Holdings Limited (ASX: SMA) ( SmartTrans or the Company ) is pleased to announce that it has entered into a formal share sale agreement with the shareholders of Resource Connect Holdings Pty Ltd and iCuro Pty Ltd, in connection with the acquisition previously announced on 16 October 2017 and 23 October 2017 (Acquisition).

Further details in relation to the Acquisition are set out in the Company’s notice of annual general meeting released on 14 November 2017 and also in slide presentation pack released to the ASX in a separate announcement today. The Acquisition remains subject to several conditions precedent including receipt of SmartTrans’ shareholder approval, receipt of any necessary third‐party consents, execution of services agreements with proposed senior management, and completion of a $5 million capital raising by the Company.
