Cleansing Statement
On 27 September 2012 SmartTrans Holdings Ltd issued, via a placement, 35,714,286 ordinary shares in the Company at $0.007 each to raise gross funds of $250,000 ( Placement Shares ).
SmartTrans Holdings Ltd also advises that it is in the process of contemplating further equity capital requirements which may include a further placement of a similar magnitude in the near future to raise working capital and to provide funds for promotional activity in China.
In accordance with the requirements of section 708A(5)(e) of the Corporations Act, under which this notice is given, SmartTrans confirms that:

The Placement Shares rank equally with the existing fully paid ordinary shares of the Company;
-
SmartTrans issued the Placement Shares without disclosure to investors under Part 6D.2 of the Corporations Act in reliance on section 708 of that Act and notification is being given under section 708A(5)(e) of that Act;

As at the date of this notice:
-
(a) SmartTrans has complied with the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and
-
(b) SmartTrans has complied with section 674 of the Corporations Act; and
-
-
As at the date of this notice, there is no information:
-
(a) that has been excluded from a continuous disclosure notice in accordance with the ASX Listing Rules; and
-
(b) that investors and their professional advisors would reasonably require, and would reasonably expect to find in a disclosure document, for the purpose of making an informed assessment of:
-
(i) the assets and liabilities, financial position and performance, profits and losses and prospects of the Company; or
-
(ii) the rights and liabilities attaching to the Placement Shares.
