Placement, Appendix 3B and Secondary Trading Notice Pursuant to Section 708A(5) of the Corporations Act

On 20 November 2007, the Company issued 83,000,000 fully paid ordinary shares in the Company ( New Shares ) pursuant to a placement to China Alarm Holdings Limited to raise gross funds of $3,154,000.

An appendix 3B for the New Shares is attached.

The New Shares rank equally with the existing fully paid ordinary shares of the Company.

The Corporations Act 2001 (Cth) ( Corporations Act ) restricts the on-sale of securities issued without disclosure to investors under Chapter 6D of the Corporations Act, unless the sale is exempt under section 708 or 708A. By the Company giving this notice, sale of the New Shares will fall within the exemption in section 708A(5) of the Corporations Act.

The Company hereby notifies ASX that:

1. the Company issued the New Shares without disclosure to investors under Part 6D.2 of the Corporations Act;

2. this notice is given in accordance with section 708A(5)(e) of the Corporations Act;

3. as at the date of this notice, the Company has complied with the provisions of Chapter 2M of the Corporations Act as they apply to the Company, and section 674 of the Corporations Act; and

4. there is no excluded information (as defined in section 708A(7) of the Corporations Act) which is required to be disclosed by the Company.
