Correction to Notice of Annual General Meeting

SmartTrans Holdings Limited (ASX Code: SMA) wishes to clarify and correct an error in the Notice of Annual General Meeting ( AGM Notice ) dated 12 October 2011 which has been despatched to shareholders and was released to ASX on 24 October 2011.

In connection with Resolution 7, which seeks shareholder approval to issue shares to Dymocks Securities Pty Ltd (a related party of Mr John Forsyth), the Explanatory Statement which accompanies the AGM Notice (at sub-section 11 regarding Resolution 7) notes that Mr John Forsyth and his associates currently have a relevant interest in 365,846,072 shares (31.03%) in the Company. However, incorrectly, this is a reference only to the registered holding of Dymocks Securities Pty Ltd. As noted in other announcements made by the Company, including in the Company's Annual Reports for the year ended 30 June 2010 and 30 June 2011, Mr John Forsyth and his associates together have a relevant interest in 518,046,869 shares in the Company, which presently represents 43.9% of the Company.

The Company also advises, for completeness, that whilst shareholder approval will be sought at the upcoming AGM pursuant to Resolutions 5, 6 and 7 to issue up to 7,389,304 shares to Canala Services Pty Ltd, 4,000,000 shares to Mr James Laurie and 10,851,200 shares to Dymocks Securities Pty Ltd, if shareholder approval is obtained, the Company intends (subject to Resolutions 5, 6 and 7 being duly passed) to issue a lesser number to each proposed recipient, being 4,409,048 to Canala Services Pty Ltd, 2,348,361 to Mr James Laurie and 6,474,692 to Dymocks Securities Pty Ltd.
