Item 8.01. Other Events.

On January 17, 2012, Optical Cable Corporation (the “Company”) issued a press release announcing that the Board of Directors declared a cash dividend of $0.015 per share on the Company’s common stock effective January 13, 2012. The Company’s Board of Directors declared that the dividend would be paid on or about February 15, 2012 to shareholders of record on January 27, 2012. A copy of the press release announcing the dividend is attached as Exhibit 99.1 to this Form 8-K.
