ASX Announcement - Rights Issue Cleansing Notice under Section 708AA(2)(f) of the Corporations Act 2001

This notice is given by Oldfields Holdings Limited (OLH) under Section 708AA(2)(f) of the Corporations Act 2001 (the “Act”) as notionally modified by ASIC Class Order 08/35.

OLH today announces a non-renounceable pro rata share rights issue of 1 fully paid ordinary share (“New Shares”) for every one (1) ordinary share held by OLH's shareholders as at 5.00pm (AEST-Sydney) on 19 October 2010.

OLH advises that:

  • (a) that the New Shares will be offered for issue without disclosure under Part 6D.2 of the Act;

  • (b) the notice is being given under section 708AA(2)(f) of the Act;

  • (c) as at the date of this notice, OLH has complied with:

  • i. the provisions of Chapter 2M of the Act as they apply to OLH: and

ii. section 674 of the Act;

  • (d) as at the date of this notice, there is no excluded information of the type referred to in sections 7008AA(8) or (9) of the Act; and

  • (e) the potential effect of the Rights Issue will have on the control of OLH, and the consequences of that effect, will depend on a number of factors, including shareholder demand.

In further to paragraph (e) above, Mr Lewis Timms through Randell Management Pty Ltd ATF the Timms Superannuation Fund, Mr John Westwood through his companies UFBA Pty Ltd, Farrow Rd Pty Ltd and Aymtold Properties Pty Ltd (together Major Shareholders), hold 30.08% and 20.45% of OLH's Issued Share Capital respectively, being 50.53% in total.

Therefore, the potential effect of the issue of new shares on the control of OLH is illustrated below:

  1. If the Rights Offer is fully subscribed by all shareholders.

No effect on control.

  1. If 50% of the Rights Offer is subscribed by the shareholders other than the Major Shareholders and the Major Shareholders subscribe for their full entitlement, and for the shortfall in accordance with the Offer Document.

The Major Shareholders' shareholding would increase from 50.53% to 62.90%.

  1. If the Rights Offer is subscribed by no shareholder other than the Major Shareholders and they subscribe for the total Rights Issue.

The Major Shareholders' shareholding would increase from 50.53% to 75.27%.

Quotation agreement
