Grant of share options to primary insiders in NRC Group ASA

Grant of share options to primary insiders in NRC Group ASA

Based on the authorization granted by the Annual General Meeting on 8 May 2025,

authorizing the Board of Directors of NRC Group ASA (the "Company") to issue up

to 6.4 million share options under the Company's long-term incentive program,

the Board has resolved to grant a total of 5.2 million share options to selected

senior executives, including primary insiders.

Each share option entitles the holder, upon exercise, to acquire one share in

the Company. The share options are granted without consideration.

The share options may be exercised no earlier than 1 April 2028 and will expire

12 months thereafter. Any options not exercised by the expiry date will lapse

without compensation. The strike price is based on the average closing price of

the Company's shares during the five trading days immediately preceding the 2025

Annual General Meeting.

Primary insiders in the Company have been granted the following share options

under the terms described above:

Anders Gustafsson, CEO, has been granted 1.000,000 share options. The share

options have a strike price of NOK 4.90.

Åsgeir Nord, CFO, has been granted 600,000 share options. The share options have

a strike price of NOK 4.90.

Harri Lukkarinen, EVP and MD NRC Finland, has been granted 600,000 share

options. The share options have a strike price of NOK 4.90.

Tomas Johansson, EVP and MD NRC Sweden, has been granted 600,000 share options.

The share options have a strike price of NOK 4.90.

Ingvild Storås, EVP and MD NRC Norway, has been granted 600,000 share options.

The share options have a strike price of NOK 4.90.

Lene Engebretsen, EVP and Head of Strategy, Sustainability and Communications,

has been granted 600,000 share options. The share options have a strike price of

NOK 4.90.

Marianne Kellmer, EVP and Head of People, Culture and Digitalisation, has been

granted 600,000 share options. The share options have a strike price of NOK

4.90.
