NRC Group ASA: New share capital registered

Reference is made to the stock exchange announcement published by NRC Group ASA

(the "Company") on 12 February 2020 regarding a private placement of new shares

in the Company. The share capital increase related to the first tranche of the

private placement has now been registered with the Norwegian Register of

Business Enterprises.

Following such registration, the Company's share capital is NOK 64,711,349.00

divided into 64,711,349 shares, each with a par value of NOK 1.00.
