NRC Group ASA - Approved prospectus

Reference is made to the stock exchange announcement published by NRC Group ASA

(the "Company") on 13 March 2020 regarding the successful completion of a

private placement with gross proceeds of approximately NOK 700 million, as well

as the publication of minutes from an extraordinary general meeting of the

Company held on 9 March 2019, in which the issuance of 8,243,200 shares in

tranche 2 of the private placement (the "Tranche 2 Shares") was approved.

The Financial Supervisory Authority of Norway has today, 11 March 2020, approved

a prospectus prepared by the Company for listing of the Tranche 2 Shares on Oslo

Børs.
