Reference is made to the stock exchange announcement published by NRC Group ASA

(the "Company") on 12 February 2020 regarding the successful completion of a

private placement with gross proceeds of approximately NOK 700 million, as well

as the publication of minutes from an extraordinary general meeting of the

Company held on 9 March 2019, in which the issuance of 8,243,200 shares in

tranche 2 of the private placement (the "Tranche 2 Shares") was approved.

The share capital increase related to the issuance of the Tranche 2 Shares has

been registered with the Norwegian Register of Business Enterprises. The share

capital of the Company is NOK 72,954,549, divided into 72,954,549 shares, each

with a par value of NOK 1.00.
