NRC Group ASA has completed the acquisition of VR Track Oy

NRC Group ASA has completed the acquisition of VR Track Oy

Reference is made to the announcement made by NRC Group ASA ("NRC Group" or the

"Company") on 11 October 2018 regarding the Company's entry into an agreement

for the acquisition of VR Track Oy ("VR Track") as well as the notice of and the

minutes from an extraordinary general meeting of the Company held on 5 November

2018 and the prospectus published by the Company on 22 November 2018.

NRC Group has today completed the acquisition of VR Track through its wholly

owned subsidiary Parallel Bidco Oy.

In connection with the acquisition, the board of directors of NRC Group has

resolved to issue 9,877,953 new shares in the Company at a price of NOK 75.3127

per share. The new shares are issued as partial consideration to VR Group Ltd.,

being the seller of VR Track, pursuant to an authorization granted by the

extraordinary general meeting of the Company held on 5 November 2018.

Following registration of the share capital increase with the Norwegian Register

of Business Enterprises, the Company's new share capital will be NOK 53,904,223,

divided into 53,904,223 shares, each with a nominal value of NOK 1.

As set out in the minutes from the extraordinary general meeting of the Company

held on 5 November 2018, the board of directors of the Company has, with effect

from completion of the acquisition of VR Track Oy, been expanded with two new

board members, being Rolf Jansson and Eva Nygren.

VR Group Ltd. will following receipt of the new shares in the Company hold a

total of 9,877,953 shares in the Company, equal to approximately 18.33 percent

of the total number of shares and votes in the Company. VR Group Ltd. is

represented on the board of directors of the Company.
