Reference is made to the announcement on 4 April 2019 from NRC Group ASA (the

"Company") regarding exercise of options granted under the employee program in

2016, and resolution by the board of directors to issue 31,407 new shares in the

Company at a subscription price of NOK 52.47 per share.

The share capital increase pertaining to the share issuance has now

been registered with the Norwegian Register of Business Enterprises. The

Company's registered share capital is NOK 53,935,630 divided on 53,935,630

shares, each with a nominal value of NOK 1.
