NRC Group ASA - Exercise of options

Reference is made to the share option program for senior management in NRC Group

ASA (the "Company"). The board of directors in the Company has today resolved to

issue 100,000 new shares in the Company (the "New Shares") under the share

option program. The New Shares are issued at a strike price, adjusted for

dividend payments following the grant, of NOK 53.25 per share. The New Shares

are issued pursuant to a board authorization to issue shares in the Company in

connection with the share option program for senior management in the Company,

granted by the Company´s annual general meeting on 8 May 2019.

Following registration of the share capital increase pertaining to the New

Shares with the Norwegian Register of Business Enterprises, the Company's new

share capital will be NOK 54,035,630 divided on 54,035,630 shares, each with a

nominal value of NOK 1.
