Reference is made to the announcement on 11 September 2018 from NRC Group ASA

(the "Company") regarding the acquisition of NSS Holding AS and resolution by

the board of directors to issue 850,745 new shares in the Company as partial

consideration to the seller of NSS Holding AS.

The share capital increase pertaining to the share issuance has now been

registered with the Norwegian Register of Business Enterprises. The Company's

registered share capital is NOK 43,178,593 divided on 43,178,593 shares, each

with a nominal value of NOK 1.
