Reference is made to the announcement on 28 September 2018 from NRC Group ASA

(the "Company") regarding the acquisition of Gunnar Knutsen AS and resolution by

the board of directors to issue 847,677 new shares in the Company as partial

consideration to the seller of Gunnar Knutsen AS.

The share capital increase pertaining to the share issuance has now been

registered with the Norwegian Register of Business Enterprises. The Company's

new registered share capital is 44,026,270 divided on 44,026,270 shares, each

with a nominal value of NOK 1.
