NRC Group - Share Issue/Capital Change 2017

NRC Group has completed the acquisition of ALTi Bygg og Anlegg AS

Reference is made to the announcement on 29 June 2017 by NRC

Group ASA ("NRC Group" or the "Company") regarding the

agreement for NRC Group's acquisition of ALTi Bygg og Anlegg

AS (referred to below as "ALTi").

NRC Norge AS, a wholly owned subsidiary of NRC Group, has

today completed the acquisition of ALTi.

In connection with the acquisition, the board of directors

of the Company has issued 1,724,137 shares at a price per

share of NOK 58 as partial consideration to the seller of

ALTi pursuant to an authorization granted by the Company's

extraordinary general meeting on 3 May 2017. The share

capital increase pertaining to the share issuance has been

registered with the Norwegian Register of Business

Enterprises and the Company's share capital is now NOK

41,253,349 divided on 41,253,349 shares, each with a nominal

value of NOK 1.
