NRC Group - Share Issue/Capital Change 2017

NRC Group has completed the acquisition of Signal & Banbyggarna i Dalarna Aktiebolag

Reference is made to the announcement on 31 March 2017 by

NRC Group ASA ("NRC Group" or the "Company") regarding the

agreement for NRC Group's acquisition of Signal &

Banbyggarna i Dalarna Aktiebolag ("SBB").

Nordic Railway Construction AB, a wholly owned subsidiary of

NRC Group, has today completed the acquisition of SBB.

In connection with the acquisition, the board of directors

of the Company has issued 561,604 new shares at a price per

share of NOK 58 as partial consideration to the sellers of

SBB pursuant to an authorization granted by the Company's

extraordinary general meeting on 3 May 2017. The share

capital increase pertaining to the share issuance has been

registered with the Norwegian Register of Business

Enterprises and the Company's share capital is now NOK

41,814,953 divided on 41,814,953 shares, each with a nominal

value of NOK 1.
