Registration of share capital increase

Reference is made to the announcement made by NRC

Group ASA (the "Company") on 17 November 2016

regarding a completed private placement of shares.

The share capital increase related to issuance of the

3,000,000 new shares allocated in the private

placement has today been registered with the

Norwegian Register of Business Enterprises.

The Company's share capital is now NOK 38,311,362

divided into 38,311,362 shares, each with a nominal

value of NOK 1.
