NRC GROUP - CLOSING OF ACQUISITION OF SVENSK JÄRNVÄGSTEKNIK AB

Reference is made to the announcement made on 7 May

2015 regarding NRC Group ASA's acquisition of Svensk

Järnvägsteknik AB. Closing of the transaction has

now taken place.

The cash portion of the purchase price has been

settled and the consideration shares are expected to

be delivered to the former shareholders of Svensk

Järnvägsteknik AB on or about 3 June 2015. The new

shares will be placed on a separate ISIN and not be

listed on Oslo Børs until an information memorandum

has been published in accordance with applicable

securities legislation. As a consequence of the

board of directors' resolution to issue the

consideration shares, the share capital of the

company will be increased by NOK 2,891,139 to NOK

22,635,985 through issuance of 2,891,139 new shares.
