NRC Group ASA - Registration of share capital increase

Oslo, 3 December 2015. Reference is made to the

announcement by NRC Group ASA (the "Company") on 9

November 2015 regarding the Company's entering into of

an agreement for the acquisition of Segermo

Entreprenad Aktiebolag ("Segermo").

The Company has today completed the acquisition of

Segermo, including the issuance of consideration

shares to the seller.

The share capital increases related to issuance of the

consideration shares have been registered with the

Norwegian Register of Business Enterprises. The

consideration shares will not be tradable on the Oslo

Stock Exchange until the publication by the Company of

a prospectus, expected to be on or about Monday 7

December 2015.

The Company's share capital following issuance of the

consideration shares is now NOK 32,964,483 divided

into 32,964,483 shares, each with nominal value NOK 1.
