NRC Group ASA - disclosure of shareholdings

Reference is made to today's announcement regarding

a private placement of 3,111,111 new shares in NRC

Group ASA (the "Company") and sales of shares by

certain shareholders.

Charlotte Holding AS has sold 276,182 shares and

will as a consequence of sales of shares and

dilution in the private placement hold 2,371,428

shares in the Company corresponding to 9.21% of the

shares and votes in the Company following the

private placement, i.e. below 10%.

Granshagen Invest AS has sold 600,000 shares and

will as a consequence of sales of shares and

dilution in the private placement hold 931,007

shares in the Company corresponding to 3.62% of the

shares and votes in the Company following the

private placement, i.e. below 5%.
