NRC Group has completed the acquisition of Gravco AS and Septik Tank Co AS

Reference is made to the announcement on 7 November

2016 by NRC Group ASA ("NRC Group" or the "Company")

regarding the agreement for the Company's acquisition

of Gravco AS and Septik Tank Co AS (together referred

to as "Gravco"). NRC Civil AS, a wholly owned

subsidiary of NRC Group, has today completed the

acquisition of Gravco.

In connection with the acquisition, the board of

directors of the Company has issued 441,988 shares as

partly consideration to the seller of Gravco pursuant

to an authorization granted by the Company's

extraordinary general meeting on 12 May 2016. The

share capital increase pertaining to the share

issuance has been registered with the Norwegian

Register of Business Enterprises and the Company's

share capital is now NOK 38,753,350.00 divided into

38,753,350 shares, each with a nominal value of NOK 1.
