Norsk Titanium AS: Primary insider trading

Oslo, Norway, 4 March 2022: In connection with a restructuring, NTi Holding AS (“NTi Holding”) has transferred shares in Norsk Titanium AS (“Norsk Titanium”) to its shareholders. In total, NTi Holding has transferred 51,647,974 shares in Norsk Titanium to its shareholders, including Scatec Innovation AS (“Scatec Innovation”) and Scatec Invest AS (“Scatec Invest”) that have received 50,828,143 and 555,945 respectively.

The share transfer is carried out solely for the purpose of simplifying the ownership structure to shares in Norsk Titanium for Scatec Innovation and enable Scatec Innovation to meet its obligations towards former and existing employees under the shareholder agreement in Scatec Invest. NTi Holding is controlled by Scatec Innovation, that will neither increase nor decrease its relative ownership to shares in Norsk Titanium as a result of the restructuring. Scatec Invest is currently under liquidation and shares in Norsk Titanium received by Scatec Invest will be transferred to shareholders in due course.

NTi Holding, Scatec Innovation and Scatec Invest are legal persons associated with John Andersen, who is the chairman of the board of Norsk Titanium. Notifications of the transactions associates of primary insiders in accordance with the Market Abuse Regulation Article 19 are attached.

After the transfer of shares, NTi Holding holds 7,924,651 shares in Norsk Titanium, under which 6,655,300 shares are held subject to a share lending agreement entered into between NTi Holding and several shareholders of Norsk Titanium in connection with the listing of the Company on Euronext Growth Oslo.
