NOTICE OF ANNUAL SHAREHOLDERS' MEETING

  1. Please be informed that the Annual Shareholders' Meeting of Nien Made Enterprise Co., Ltd., is scheduled to be convened at Laurel Ballroom (Evergreen Laurel Hotel), B2, No. 666, Sec. 2, Taiwan Boulevard, Taichung City 407, Taiwan, at 10:00 a.m., Jun 17, 2026 (Wednesday). For the Meeting, enrollment by shareholders for participation is accepted starting from 09:30 a.m. at the same venue as the Meeting.

  1. Contents of the Company’s allocation of earnings in 2025:
    Cash dividends amounted to NT$4,688,323,200 (NT$16 per share), with payment scheduled for Apr 22, 2026.

  2. This Annual Shareholders' Meeting will elect 9 Directors (including 3 Independent Directors) under a candidate nomination system.
    ■ Director Candidates: Nien Keng-Hao (Howard), Nien Chao-Hung (Michael), Chuang Hsi-Chin (Ken), Peng Ping (Benson), Jok Chung-Wai (Edward), Chiu Tzu-Hao (Oliver)
    ■ Independent Director Candidates: Huang Jian-Jang, Chang Kai-Hsin, Wu Chien-Yi

A shareholder who wishes to review the candidates’ education and experience may visit the “Announcement Search” section of the Market Observation Post System (https://mops.twse.com.tw).

  1. The removal of non-competition restrictions for the newly elected directors, in accordance with Article 209 of the Company Act, is submitted to the Annual Shareholders’ Meeting for approval.

  2. In accordance with Article 165 of the Company Act, share transfers shall be discontinued during the period starting from Apr 19, 2026 until Jun 17, 2026.


  1. Please find enclosed the Company’s Attendance Notice and Proxy, one set each. A shareholder who decides to participate in the Annual Shareholders’ Meeting in person is requested to sign or affix a seal to the Attendance Notice. A shareholder who authorizes a proxy to participate on his/her behalf is requested to sign or affix a seal to the Proxy form, fill in the proxy holder’s name, ID number, and address, and have the proxy holder sign or affix a seal to the Proxy form. The completed Proxy form shall be submitted, in person or by mail, to the Company’s shareholder services agent, Transfer Agency Department of Fubon Securities Co., Ltd. (11F, No. 17, Xuchang Street, Zhongzheng District, Taipei City), at least 5 days prior to the scheduled meeting time to complete the proxy attendance process.

  2. In case of solicitation of proxies by shareholders, the Company will disclose it on the website of the Securities & Futures Institute (https://free.sfi.org.tw) on or before May 15, 2026. A shareholder who intends to inquire about it may directly go to the website (https://free.sfi.org.tw) for "Free Inquiry Shareholders' Meeting for Proxy Related Information" and input the conditions of inquiry to search for information of the meeting with a proxy (The Company’s stock code: 8464).

  3. As expressly provided for in Article 26-2 of the Securities and Exchange Act: “A company that has issued stock under this Act, when giving a shareholders meeting notice to shareholders who own less than 1,000 shares of registered stock, may do so in the form of a public announcement. For a regular shareholders meeting, such notice may be given 30 days before the meeting date.”

  4. The shareholders may have their votes cast in electronic form for this Annual Shareholders’ Meeting from May 16, 2026 to Jun 14, 2026. A shareholder shall log in to the "Shareholders e-voting" platform of Taiwan Depository & Clearing Corporation (TDCC; https://stockservices.tdcc.com.tw) using any form of a CA Voucher (a natural person-individual certificate, voucher for a securities dealer to place an order, certificate of online banking, industrial & commercial certificate, certificate co-used by a securities dealer/futures dealer, or government issued certificate), and then vote as instructed. A shareholder who exercises e-voting in accordance with the provisions set forth under the Company Act is deemed to have participated in the shareholders’ meeting in person. Where a shareholder exercises e-voting and further commissions a proxy to participate in the shareholders’ meeting, the voting power exercised by the commissioned proxy shall prevail.

  5. If any proposals for this Annual Shareholders’ Meeting are subject to disclosure of main content under Article 172 of the Company Act, the related information is available on the Market Observation Post System (MOPS; https://mops.twse.com.tw/mops/#/web/home). Click “Electronic Books > Shareholders’ Meetings” and enter the Company’s stock code and year.

  6. No souvenir will be distributed at this Annual Shareholders’ Meeting.
