Sir/ महोदय ,

In continuation to our letter dated 17.04.2025 and in compliance to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, it is to inform that the Board of Directors in its meeting held today i.e. Wednesday, 23[rd] April, 2025 (meeting commenced at 07.45 P.M. and concluded at 8.30 P.M.) had inter-alia considered and approved the perusal of Key Information Document (KID) for raising of funds through issue of Unsecured, Redeemable, Taxable, Non-Convertible, Non-Cumulative AF-Series Bonds up to Rs.2,000 Crore in one or more tranche through private placement, as part of the borrowing plan for FY 2025-26.

Further, the Board had inter-alia also considered and approved the following proposals:-

• i. Recommendation for appointment of M/s Akhil Rohatgi & Co., Company Secretaries, Delhi, as Secretarial Auditor of the Company for conducting Secretarial Audit for a period of 5 (five) financial years i.e. from FY 2025-26 to FY 2029-30 to the shareholders for their approval in the ensuing Annual General Meeting. The brief profile of M/s Akhil Rohatgi & Co. is enclosed herewith.

• ii. Development of 1200 MW Solar Park at Jalaun district, Uttar Pradesh by Bundelkhand Saur Urja Limited (BSUL) (a Subsidiary Company of NHPC and JV with Uttar Pradesh New & Renewable Energy Department Agency) under MNRE Scheme (Mode 8-UMREPP) with an estimated cost of Rs 796.96 Crore including IDC of Rs 42.69 Crore and equity investment of Rs 239.09 Crore by NHPC in BSUL for development of above Solar Park.

• i. मेसस� अ�खल रोहतगी एंड कंपनी , कंपनी स�चव , �द�ल� को कंपनी के स�चवीय लेखा पर��क के �प म� 5 ( पांच) �व�ीय वष� क� अव�ध यानी �व� वष� 2025-26 से �व� वष� 2029-30 तक के �लए �नयु�त करने क� �सफा�रश क� गई है , िजसे शेयरधारक� क� आगामी वा�ष�क आम बैठक म� उनक� मंजूर� �लया जाएगा । मेसस� अ�खल रोहतगी एंड कंपनी का सं���त �ववरण संल�न है।

• ii. MNRE योजना (मोड 8- UMREPP ) के अंतग�त बुंदेलखंड सौर ऊजा� �ल�मटेड (बीएसयूएल) (एनएचपीसी क� एक सहायक कंपनी और उ�र �देश नवीन एवं नवीकरणीय ऊजा� �वकास अ�भकरण के साथ संयु�त उ�यम) �वारा उ�र �देश के जालौन िजले म� 1200 मेगावाट के सौर पाक� का �वकास , िजसक� अनुमा�नत लागत 796.96 करोड़ �पये है , िजसम� 42.69 करोड़ �पये क� आईडीसी और उपरो�त सौर पाक� के �वकास के �लए एनएचपीसी �वारा बीएसयूएल म� 239.09 करोड़ �पये का इि�वट� �नवेश शा�मल है।
