Sir/ महोदय ,

In continuation to our letter dated 27.03.2024 and in compliance to Regulation 29(1) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, it is to inform that a meeting of Board of Directors of the company is scheduled to be held on Thursday, 12[th] December, 2024 , in which, the following proposals may be considered:

• i) Approval of revised borrowing plan for raising of debt during FY 2024-25.

• ii) Perusal of General Information Document (GID) and Key Information Document (KID) for raising of funds through issue of Unsecured, Redeemable, Taxable, Non-Convertible, Non-Cumulative Bonds up to Rs.2,600 crore in one or more tranche through private placement, as part of the borrowing plan for FY 2024-25.

हमारे �दनांक 27.03.2024 के प� क� �नरंतरता मे और सेबी ( �लि�टंग दा�य�व� और �कट�करण आव�यकताओं ) �व�नयमन , 2015 के �व�नयम 29(1) के अनुसार यह सू�चत �कया जाता है �क गु�वार , 12 �दसंबर , 2024 को �नदेशक मंडल क� बैठक आयोिजत क� गयी है , िजसमे �न�न�ल�खत ��ताव� पर �वचार �कया जा सकता है :

• क) �व�ीय वष� 2024-25 के दौरान ऋण जुटाने के �लए संशो�धत उधार योजना का अनुमोदन ।

• ख) �व�ीय वष� 2024-25 के �लए उधार योजना के �ह�से के �प म� एक या अ�धक �क�त म� �नजी �लेसम�ट के मा�यम से 2,600 करोड़ �पये तक के असुर��त , ��तदेय , कर यो�य , गैर - प�रवत�नीय , गैर - संचयी बांड जार� करके धन जुटाने के �लए सामा�य सूचना द�तावेज़ ( जीआईडी ) और मु�य सूचना द�तावेज़ ( केआईडी ) का अवलोकन।
