Dear Sir/ Ma'am,
This is to inform you that the Board of Directors of the Company at its meeting held today i.e. Friday, 29th May 2026 has inter-alia, considered and approved the allotment of equity shares to Newgen ESOP Trust and Newgen RSU Trust under their respective Schemes as details below. The Board Meeting commenced at 11:10 A.M. and concluded at 11:20 A.M.

These shares shall rank pari passu with the existing equity shares of the Company, in all respects.
Consequently, post allotment of shares, as stated, the paid-up share capital of the Company stands increased from Rs. 142,31,77,870 to Rs.142,51,00,020 of the face value of Rs. 10 each.
The details as required under Listing Regulations read with SEBI Master Circular no. HO/49/14/14(7)2025CFD-POD2/I/3762/2026, dated 30th January 2026 is enclosed as Annexure- I.
