SUSPENSION FROM OFFICIAL QUOTATION

The securities of Marathon Resources Limited (the “Company”) will be suspended from quotation immediately, following receipt of security holder approval to change the Company’s activities.

The Company’s securities will remain suspended until the Company has complied with Chapters 1 and 2 of the Listing Rules in accordance with Listing Rule 11.1.3.

Request for Voluntary Suspension

Pursuant to Listing Rule 17.2 Marathon Resources Limited (ASX: MTN) (the Company) requests voluntary suspension of its quoted fully paid ordinary shares with effect from receipt of this letter.

In accordance with ASX Listing Rule 17.2 the Company provides the following information regarding the request:

1. The reason for the request follows approval of resolutions at the Company’s General Meeting held earlier today, regarding a change to the nature and scale of the company’s activities, to enable the Company to re-comply with Chapters 1 and 2 of the Listing Rules.

2. The Company expects the voluntary suspension to end once the Company has complied with Chapters 1 and 2 of the Listing Rules and satisfied ASX’s requirements for re-admission to the Official List.

3. The Company is not aware of any reason why the voluntary suspension should not be granted, nor of any other information necessary to inform the market about the voluntary suspension.
