Mr Shearwood holds an interest in 22.47% of the issued capital in Allied Resource Partners Pty 15,000,000 Ordinary Shares Ltd (ACN 151 264 014) directly through his personal holding and indirectly through his control of the David K Shearwood DIY Superannuation Fund (of which he is a trustee and beneficiary) and by virtue of the holdings of his two children. As a result of the operation of section 608(3)(b) of the Corporations Act, Allied Resource Partners Pty Ltd has a relevant interest in the 15,000,000 ordinary shares in MTN held by ARP TriEnergy Pty Ltd (ACN 146 966 305), of which Allied Resource Partners Pty Ltd is the controlling shareholder. As a result of the operation of section 608(3)(a) of the Corporations Act, the relevant interest of Allied Resource Partners Pty Ltd in MTN (15,000,000 ordinary shares) is therefore also attributed to Mr David Kit Shearwood for the purposes of this notice.
