We refer to our letter dated August 16, 2019 informing about the Meeting of the Board of Directors of the Company to be held on Friday, August 23, 2019 inter-alia to consider Reorganization of Media and Communications undertaking of lnduslnd Media & Communications Limited (IMCL), a - material subsidiary of Hinduja Ventures Limited (HVL) i,r;ito Hinduja Ventures Limited.

We would like to inform you that the meeting has been postponed to Tuesday, August 27, 2019 inter-alia to consider Reorganization of Media and Communications undertaking of IMCL, a material subsidiary of HVL into HVL.

Further, in accordance with the Company's Code of Conduct to Regulate, Monitor and Report Trading by Designated Persons and their Immediate Relatives , the 'trading window' for dealing in the securities of the Company is closed for all the Designated Persons and their Immediate Relatives from Friday, August 16, 2019 and will remain closed till 48 hours after the conclusion of the Board Meeting i.e. up to Thursday , August 29, 2019.
