Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and in continuation of our earlier disclosures relating to the proposed scheme of Merger by Absorption of Hinduja Leyland Finance Limited ("Transferor Company") into NDL Ventures Limited (formerly known as NXTDIGITAL Limited) ("Transferee Company") and their respective shareholders under Sections 230 to 232 and other applicable provisions of the Companies Act, 2013, we wish to inform you that the Company has filed an Application/Petition before the Hon'ble National Company Law Tribunal, Mumbai Bench on June 01, 2026, under Sections 230 to 232 and other applicable provisions of the Companies Act, 2013 seeking directions/orders in relation to the Scheme.

The Scheme remains subject to receipt of approvals, sanctions and permissions from the Hon'ble NCLT and such other regulatory/statutory authorities as may be required.

Further developments in this regard shall be intimated to the Stock Exchange in accordance with applicable laws and regulations.
