Correction to Director Interest Notice

Murray Cod Australia Limited (‘MCA’ or ‘the Company’) advises of a correction to the previous Director Interest Notice lodged for Mr Roger Commins on 2 January 2024.

Background

Commins Partnership Pty Ltd as trustee for the Superannuation Fund (“Commins Partnership”) an entity associated with Director, Mr Roger Commins, purchased 190,000 fully paid ordinary Company shares on-market between 27 June 2022 and 4 July 2022 for total consideration of $32,182.59 at an average price of approximately 17 cents per share (“Share Purchases”).

The Company became aware of these Share Purchases, which were initiated by a controller of Commins Partnership who inadvertently circumvented the procedures in place to ensure any trading by a Director (or associated entity) is approved by, and reported to a Clearance Officer of the Company in accordance with the Company’s Securities Trading Policy. As a result, the Share Purchases were not notified to the ASX through an Appendix 3Y.

Director Interest Notices

Further to the above, the Company attaches the following announcements:-

  • Appendix 3Y (Change in Director’s Interest Notice), which should have been lodged with the ASX within 5 business days after the Share Purchases made from 27 June 2022 to 4 July 2022; and

  • Correction Appendix 3Y (Change in Director’s Interest Notice), to replace the notice dated 2 January 2024 which provides a list of the Director’s current holdings.

Securities Trading Policy and Controls

The Company and the Directors are aware of their obligation under Listing Rules 3.19A and 3.19B to provide the necessary information to the Company to meet its disclosure requirements. The Company has implemented further controls surrounding the clearance and reporting of any trading by Directors and their associates.

The Company is confident that the processes it has in place will ensure compliance with Listing Rule 3.19A and 3.19B.

Following inquiries, the Company confirms that both the relevant Director and the Commins Partnership controller were not in possession of any price sensitive information on hand when the share purchase was made, which also did not occur within a Black Out Period as defined in the Securities Trading Policy of the Company. The shares purchased continue to be held by Commins Partnership.
