Multiconsult ASA - share repurchase programme

The Annual General Meeting of Multiconsult ASA ("Multiconsult") held on 11 May

2017 resolved to authorise the board of directors to acquire own shares in the

company. Pursuant to the resolution, Multiconsult may purchase own shares with a

maximum aggregate nominal value of NOK 1 312 460, equal to 2 624 920 shares. The

maximum and the minimum amount which may be paid per share are NOK 250 and NOK

5, respectively. The authorisation is valid until the Annual General Meeting in

2018, however, no longer than to 30 June 2018.

The board of directors of Multiconsult has resolved to initiate a share

repurchase programme on the basis of this authority. Shares acquired under the

programme will be used in connection with Multiconsult's employee share purchase

programme.

The maximum number of shares which may be acquired in the market for the

employee share purchase programme will be 210 000 shares. The shares will,

unless otherwise announced, be acquired during the period 22 September - 29

November 2017.

The maximum number of shares which may be acquired during any one trading day

will be equal to 50% of the average daily volume in Multiconsult's shares on

Oslo Børs in August 2017, i.e. up to 8,503 shares per trading day.

Multiconsult has engaged Arctic Securities AS to carry out the share repurchase

programme on its behalf.
