Resolution on capital increase

As part of the consideration in connection with the acquisition of all the

shares in Hjellnes Consult AS and Johs Holt AS (as described in the stock market

announcement dated 10 July 2017), the board of directors of Multiconsult ASA has

on 30 August 2017 resolved to increase the share capital of Multiconsult ASA by

NOK 360,597 by issuing 721,194 new shares, each with a nominal value of NOK

0.50, to Hjellnes Holding AS.

The new shares will be issued at the closing of the acquisition of Hjellnes

Consult AS and Johs Holt AS. The closing is expected to take place during

September 2017.

After the issuance of the new shares the share capital of Multiconsult ASA will

be NOK 13 485 197 divided into 26 970 394 shares, each with a nominal value of

NOK 0.50.

The resolution was passed pursuant to the authority granted at the annual

general meeting of Multiconsult ASA on 11 May 2017.
