Share loan agreement in connection to employee share purchase programme

Share loan agreement in connection to employee share purchase programme

Multiconsult ASA (OSE: MULTI) announced on 19. September 2022 to repurchase of

up to 500 000 of its ordinary shares in the market in connection with its

employee share purchase programme in 2022. As the company have not acquire a

sufficient number of shares in the market to meet the demand from its employees,

Multiconsult entered into a share loan agreement with its largest shareholder

Stiftelsen Multiconsult to assist the company in meeting this demand. The deal

was entered into on 5 December 2022 for a loan of 230 000 Multiconsult shares.

In consideration for the share loan, Multiconsult shall pay to Stiftelsen

Multiconsult an amount corresponding to 2.76% p.a. based on 230 000 shares at a

value of NOK 137.00 per share. Multiconsult will deliver the full amount of

shares back to Stiftelsen Multiconsult no later than six months from the date of

agreement. Stiftelsen Multiconsult considers Multiconsult's employee share

purchase programme to be an important incentive for the employees and hence of

value for the company.
