Dear Sir/ Madam,

This is in continuation of our earlier letter dated July 01, 2020.

We would like to inform the completion of the following agreements for both the transactions on July 1, 2020 (Pacific Time):

1. MPS North America LLC has completed the acquisition of 100% shares of HighWire Press Limited, based at Northern Ireland along with its wholly owned subsidiary Semantico Limited, based at United Kingdom as per Stock Purchase Agreement executed between them at a purchase consideration of USD 1,000,000 (US Dollars One Million only).

2. The Company through its US branch office and newly incorporated wholly owned subsidiary, HighWire North America LLC has also completed the acquisition and takeover of the US business of HighWire Press Inc,. The forward merger of HighWire Press Inc, with HighWire North America LLC, Delaware was approved by the Delaware General Corporate Law (DGCL) and the Delaware Limited Liability Company Act (DLLCA), by virtue of the filing of the certificate of merger with the Secretary of State of the State of Delaware on 1st July, 2020 (Pacific Time). This has been done at a purchase price consideration of USD 6,100,000 (US Dollars six million and one hundred thousand only).
